Terms of Service

Effective date: April 27, 2025

Please read these Terms of Service carefully before enrolling in any Techwillow programme or using our website. By registering, enrolling, or otherwise using our services you agree to be bound by these terms.

1.Parties and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (the enrolling parent, guardian, or adult student) and Techwillow STEM Education Inc.(“Techwillow,” “we,” “us,” or “our”), an Ontario corporation.

If you are enrolling a student under the age of 18, you represent and warrant that you are the parent or legal guardian of that student and that you have the authority to enter into these Terms on their behalf. You accept responsibility for your child’s compliance with all applicable policies.

By completing registration or payment, or by using our website, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2.Services

Techwillow provides in-person and online STEM education programmes including robotics, coding, artificial intelligence, web development, and tutoring services at our studios in Tillsonburg, St. Thomas, and Simcoe, Ontario, and via remote delivery where indicated.

We reserve the right to modify, suspend, or discontinue any programme, session, or feature at any time, including due to low enrolment, instructor unavailability, or circumstances beyond our reasonable control. Where sessions are cancelled by us, we will offer a rescheduled session or a pro-rated credit.

3.Enrollment and Registration

  • Enrollment is confirmed only upon receipt of the required deposit or full payment.
  • All registrations are subject to availability; enrolment in a particular batch, cohort, or time slot is not guaranteed until confirmed in writing.
  • You must provide accurate and complete information at the time of registration. Providing false information may result in immediate termination of enrolment without refund.
  • Enrolment is personal to the named student and is non-transferable to another person without our prior written consent.

4.Fees, Payment, and Taxes

  • Fees are as quoted at the time of enrolment and are denominated in Canadian dollars (CAD). Applicable taxes (HST) are charged in addition unless otherwise stated.
  • Payment is due on or before the date specified in your enrolment confirmation. We accept major credit/debit cards and e-transfer.
  • Payment security — card transactions are processed by a PCI-DSS-compliant third-party processor. We do not store card numbers.
  • Late paymentsmay result in suspension of the student’s enrolment until outstanding amounts are settled.
  • Receipts for tuition fees are issued upon request and may be used for claiming the Canada Training Credit or Ontario tuition-related credits where applicable. We are not responsible for determining your specific tax eligibility.

5.Cancellation and Refund Policy

We understand that plans change. Our refund policy is designed to be fair while allowing us to plan our courses effectively:

  • Medical/compassionate cancellations: If a student is unable to attend due to a documented medical condition or serious family emergency, we will consider a full credit or refund on a case-by-case basis. Please contact us as soon as possible.
  • Camps: Camp registrations follow the same schedule above, applied to the camp start date.
  • Techwillow-initiated cancellations: If we cancel a session, you will receive a full refund for that session or the option to reschedule.
  • All refund requests must be submitted in writing to anushadsouza@techwillow.ca.

6.Attendance and Make-Up Policy

  • Sessions missed by the student without adequate advance notice are forfeited; no refund or automatic make-up session is guaranteed.
  • We will make reasonable efforts to accommodate a single make-up session per term for absences notified at least 24 hours in advance, subject to availability.
  • Excessive absences (more than 3 in a single programme) may affect the student’s ability to obtain a completion certificate.

7.Code of Conduct

Techwillow is a respectful, inclusive learning environment. By enrolling, you and your student agree that:

  • Students will treat instructors and peers with respect at all times.
  • Bullying, harassment, discrimination, or any form of abusive behaviour will not be tolerated.
  • Students will use equipment and materials responsibly and will not intentionally damage property.
  • Students will not bring, access, or create inappropriate content (violent, sexual, or otherwise offensive material) during sessions.
  • Persistent misconduct may result in removal from the programme without refund.

Parents/guardians are responsible for the behaviour of their enrolled children and may be contacted immediately in the event of a serious conduct issue.

8.Health, Safety, and Liability Waiver

Our studios follow all applicable Ontario health and safety regulations. By enrolling, you acknowledge that:

  • STEM activities, including robotics and electronics, involve an inherent element of risk of minor injury (e.g., small cuts, pinches).
  • You have disclosed any relevant medical conditions, allergies, or physical limitations that may affect the student’s safe participation.
  • You consent to our staff providing basic first aid in an emergency and contacting emergency services on your behalf if necessary.
  • Liability limitation: To the maximum extent permitted by Ontario law, Techwillow shall not be liable for any indirect, incidental, special, or consequential damages, or for personal injury arising from normal programme activities conducted with reasonable care. Nothing in these Terms limits liability for gross negligence or intentional harm.

9.Intellectual Property

All Techwillow course materials, curricula, slide decks, handouts, videos, and related content are the exclusive intellectual property of Techwillow or its licensors (including Mechatron Robotics).

  • Materials are licensed to enrolled students for personal, non-commercial, educational use only.
  • You may not copy, reproduce, distribute, sell, or create derivative works from our materials without our prior written consent.
  • Student-created projects and code remain the intellectual property of the student.

10.Photography and Media Release

We may photograph or record sessions for marketing, social media, and documentation purposes. A separate media consent form is included at enrollment. You may withdraw consent at any time by notifying us in writing; previously published content cannot be retroactively removed from all third-party platforms but will not be used in new materials after withdrawal.

11.Website Use

Your use of techwillow.ca is subject to these Terms and our Cookie Policy. You agree not to:

  • Use the website in any unlawful manner or in violation of these Terms
  • Attempt to gain unauthorised access to any part of our systems
  • Transmit malicious code, spam, or unsolicited communications
  • Scrape, harvest, or copy content without permission

We reserve the right to suspend or terminate access to our website for any user who violates these provisions.

12.Third-Party Links and Services

Our website may contain links to third-party websites or integrate third-party services (e.g., payment processors, Mechatron Robotics portal). These third parties have their own terms and privacy policies for which we are not responsible. We encourage you to review them before use.

13.Disclaimer of Warranties

Our services are provided “as is” and “as available.” While we take every effort to deliver high-quality education, we do not warrant that any specific learning outcome, certification, employment outcome, or competitive result will be achieved. Course content accuracy is maintained to the best of our ability but may not reflect the latest industry developments in rapidly evolving fields.

14.Limitation of Liability

To the fullest extent permitted by applicable Ontario and Canadian law, Techwillow's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to us in the 3 months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be excluded under the Ontario Consumer Protection Act, 2002 or other mandatory consumer protection legislation.

15.Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any dispute that cannot be resolved through good-faith negotiation will be submitted to the exclusive jurisdiction of the courts of Ontario.

Before commencing any legal action, you agree to provide us with written notice of the dispute and 30 days to resolve it.

16.Changes to These Terms

We may update these Terms periodically. Material changes will be communicated by posting a notice on our website and, where we hold your email address, by direct email at least 14 days before the change takes effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
